    This Operating Agreement (the "Agreement") is made and entered into as of May 10, 2025, by and among the persons identified on Schedule A attached hereto (collectively, the "Members").

    WHEREAS, the Members desire to form a limited liability company pursuant to the Delaware Limited Liability Company Act, as amended from time to time (the "Act");

    WHEREAS, the Members desire to set forth their respective rights and obligations as Members and to provide for the management and operation of the Company;

We recommend that as a condition of closing the borrower provide evidence satisfactory to the lender that ABC Holdings, LLC has registered as a foreign limited liability company in the state of Florida.
